Commercial Photography Terms & Conditions

Location: Blounts Farm, Blounts Court Road, Sonning Common
Session Duration: 2 hours per business
Session Fee: £500 per business

These Terms & Conditions apply separately to each of the following business photography sessions:

  • Emma Fenning Hairdressing
  • Debbie Wyer Pilates

For the purposes of this Agreement, the individual or business booking the photography services is referred to as "the Client", and Isabella Fleur Armitage, trading as Isabella Fleur Photography, is referred to as "the Photographer".

By confirming the booking, submitting payment, or otherwise instructing the Photographer to provide photographic services, the Client agrees to be bound by these Terms & Conditions.

1. Booking, Payment, Cancellation & Rescheduling

1.1 Session Fee

The fee for each business photography session is £500 for a two-hour photoshoot.

Payment is due in accordance with the payment arrangements agreed between the Photographer and the Client. The booking is not guaranteed until confirmed by the Photographer.

1.2 Cancellation or Rescheduling by the Client

If the Client needs to cancel or reschedule the booking, they must notify the Photographer as soon as reasonably possible.

  • More than 48 hours' notice: The Photographer will make reasonable efforts to reschedule the session, subject to availability. If the session is cancelled rather than rescheduled, any refund will be at the Photographer's discretion, taking into account work already undertaken and any costs incurred.
  • 48 hours' notice or less: The session fee is non-refundable. Rescheduling may be offered at the Photographer's discretion and subject to availability.
  • No-shows: If the Client fails to attend or make the business, premises, staff or agreed subjects available for the scheduled session without reasonable notice, the full session fee remains payable.

1.3 Cancellation or Rescheduling by the Photographer

In the unlikely event that the Photographer is unable to attend due to serious illness, injury, emergency, unsafe conditions, or circumstances outside the Photographer's reasonable control, the Photographer will make reasonable efforts to reschedule the session.

If rescheduling is not possible, the Photographer's liability will be limited to a refund of any fees paid for the affected session.

1.4 Weather and Environmental Conditions

Where any part of the session takes place outdoors, the Photographer may determine that weather or environmental conditions make photography unsafe or impractical.

The Photographer may alter the schedule, location, or photographic plan, or reschedule where reasonably necessary. Overcast skies, ordinary rain, heat, cold, or other conditions that do not make the session unsafe will not automatically entitle the Client to cancellation or a refund.

2. Client Responsibilities, Permissions & Safety

2.1 Authority to Book

The person accepting this Agreement confirms that they are authorised to enter into this Agreement on behalf of the Client and, where applicable, the business being photographed.

The Client is responsible for obtaining any necessary permissions for the Photographer to access and photograph at the agreed premises or location.

2.2 Permission to Photograph People and Property

The Client is responsible for ensuring that any staff members, contractors, customers, visitors, or other identifiable individuals whom the Client wishes to be photographed have been appropriately informed and, where necessary, have provided any required consent for photography and commercial use of the resulting images.

The Client is also responsible for obtaining permission to photograph any premises, interiors, products, artwork, branding, or other property where such permission is required.

2.3 Health and Safety

The Photographer will take reasonable care while working on location. However, the Client remains responsible for the general safety and management of its premises, staff, customers, visitors, equipment, and activities.

The Client must inform the Photographer in advance of any known hazards, restrictions, safety procedures, or site rules relevant to the session.

The Photographer may refuse, stop, or alter any part of the photography session if, in the Photographer's reasonable opinion, conditions are unsafe or present an unacceptable risk.

2.4 Client Property

The Photographer will take reasonable care when working around the Client's premises and property but shall not be liable for ordinary wear, accidental damage, or loss except where caused by the Photographer's negligence.

The Client is responsible for securing valuable, fragile, confidential, or sensitive items before the session where appropriate.

3. Late Arrivals and Session Timing

3.1 Agreed Session Time

Each session is booked for a maximum of two hours.

The session begins and ends at the agreed times. If the Client is delayed, the Photographer is not required to extend the session beyond the booked two-hour period.

3.2 Delays Caused by the Client

If photography is delayed because the Client's premises, staff, products, services, or agreed subjects are not ready or available, the lost time will normally form part of the booked session time.

The Photographer may agree to continue beyond the booked time where possible, but any additional photography time may be subject to an additional charge.

4. Artistic Style and Creative Direction

4.1 Photographer's Style

The Client acknowledges that photography is a creative and subjective service. By booking the Photographer, the Client confirms that they have reviewed the Photographer's general style and are commissioning the Photographer to create images using the Photographer's professional and artistic judgement.

The Photographer retains creative control over lighting, composition, angles, image selection, editing, colour treatment, and the overall visual style of the final photographs.

4.2 No Guarantee of Specific Images

The Photographer will make reasonable efforts to capture a useful variety of images during the session. However, the Photographer cannot guarantee any particular image, pose, expression, composition, background, person, product, or moment.

The number and type of photographs ultimately delivered will depend on the circumstances of the session and the Photographer's professional judgement.

5. Image Selection, Editing and Delivery

5.1 Best Images

The Photographer will review the photographs taken during the session and select all of the best images, as determined by the Photographer using professional and artistic judgement.

The Client is not guaranteed delivery of every photograph taken during the session.

5.2 Editing

Delivered images will receive the Photographer's standard professional editing, which may include adjustments to exposure, colour, contrast, cropping, and other appropriate finishing work.

RAW files, unedited images, duplicate images, test shots, outtakes, and images not selected by the Photographer will not be supplied.

5.3 Delivery Timescale

The final edited images will normally be delivered within 2 to 4 weeks of the photography session.

This timescale is an estimate and reasonable delays caused by workload, technical issues, illness, or circumstances outside the Photographer's reasonable control will not automatically constitute a breach of contract.

5.4 Delivery Method and Gallery Expiry

Final images will normally be supplied digitally via an online gallery or download service.

The Client is responsible for downloading and securely backing up the delivered images before the gallery or download link expires.

The Photographer is not obliged to retain or archive the Client's images indefinitely after delivery.

6. Commercial Usage Licence

6.1 Photographer's Copyright

The Photographer retains the copyright and intellectual property rights in all photographs created during the session in accordance with the Copyright, Designs and Patents Act 1988.

6.2 Commercial Licence Granted to the Client

Once the session has been paid for in full, the Client is granted a non-exclusive, worldwide, perpetual, royalty-free licence to use the final delivered images for the promotion and advertising of the Client's own business.

This includes use on:

  • The Client's website and online booking platforms
  • Social media channels
  • Organic and paid social media advertising
  • Google, search engine and online advertising
  • Printed advertising and promotional materials
  • Flyers, brochures, leaflets and business cards
  • Posters, signage and displays
  • Press and public relations relating to the Client's business
  • Email marketing and newsletters
  • Business directories and listings
  • Other reasonable advertising, marketing and promotional activity for the Client's own business

The Client may crop or resize images where reasonably necessary for different advertising formats, provided the images are not altered in a misleading, defamatory, or inappropriate way.

6.3 Restrictions on Use

The Client may not sell, sublicense, transfer, assign, or give the images to a third party for that third party's independent commercial use without the Photographer's written permission.

The Client may provide images to advertising agencies, designers, printers, publishers, website developers, or other suppliers solely where necessary to promote the Client's own business.

Any use of the photographs by another business, brand, organisation, franchise, product manufacturer, or unrelated third party requires the Photographer's prior written permission.

6.4 Photographer's Promotional Use

Unless otherwise agreed in writing before the session, the Client grants the Photographer permission to use the resulting photographs for the Photographer's own portfolio, website, social media, advertising, awards, competitions, editorial features, and other reasonable self-promotional purposes.

7. People Featured in the Images

The Client acknowledges that identifiable people may appear in photographs created during the session.

The Client is responsible for ensuring that the necessary permissions have been obtained from any person whom the Client arranges to be photographed, particularly where the images will be used for advertising or commercial promotion.

If a person withdraws from being photographed before or during the session, the Client must notify the Photographer immediately.

8. Limitation of Liability

8.1 Reasonable Care

The Photographer will provide the services with reasonable care and skill.

8.2 Unforeseen Circumstances

In the unlikely event of equipment failure, serious illness, accident, transport disruption, data loss, or other circumstances that prevent delivery of some or all of the agreed services, the Photographer's liability will, to the fullest extent permitted by law, be limited to the amount paid by the Client for the affected session.

8.3 Indirect Losses

The Photographer shall not be liable for indirect or consequential losses, including loss of profits, loss of business opportunity, loss of anticipated advertising results, or reputational losses, except where liability cannot lawfully be excluded.

8.4 Nothing in These Terms Excludes Mandatory Legal Rights

Nothing in this Agreement excludes or limits liability where such liability cannot lawfully be excluded or limited under the laws of England and Wales.

9. Reviews and Reputation

The Client is welcome to provide honest feedback or reviews based on their genuine experience.

Both parties agree not to knowingly publish false or misleading statements about the other.

Nothing in this clause prevents either party from exercising their legal rights or making a truthful statement.

10. Governing Law and Jurisdiction

This Agreement is governed by the laws of England and Wales.

Any dispute arising from this Agreement shall be subject to the jurisdiction of the courts of England and Wales.

11. Agreement

By confirming the booking, instructing the Photographer to proceed, accepting these Terms, or making payment, the Client confirms that they have read, understood, and agreed to these Terms & Conditions.
